Swedish AI data center operator Green AI Cloud to list on Nasdaq through merger with Pioneer Acquisition I
The business combination, announced October 8, values Stockholm-based Green AI Cloud at $300 million pre-money equity and about $525 million in pro forma enterprise value, assuming no Pioneer shareholders redeem. Both boards have approved it. Closing is expected in the second quarter of 2027, subject to a Pioneer shareholder vote and an S-4 registration with the SEC. Proceeds will go to existing and new data center sites and possible acquisitions. Founder and CEO Jacob Bostrom will continue to run the combined company. Green AI Cloud offers Nvidia accelerator capacity from three sites in Sweden that run on renewable power. It uses liquid cooling and sends server waste heat into district heating networks. The company says its sites could eventually support a pipeline of several gigawatts. For AI builders in Europe, more power-secured, sovereign GPU capacity means more options outside US hyperscalers. SPAC redemptions often cut the cash that actually reaches the company, so the real proceeds will matter more than the headline value.
