Sarborg raises $115M in a corporate round
The investor is CDT Equity, a Nasdaq-listed company, and the $115M is not cash. Consideration is settled through 598,005 new CDT common shares and 109,978,918 pre-funded warrants, subject to shareholder approval. A further $8M of deferred consideration is payable once future fundraising is completed. The price implies a valuation of roughly $575M, according to Multiples. The buyer is small: CDT's market capitalization was about $2.14M at announcement. Dr. Andrew Regan is a director of both CDT and Sarborg. Sarborg was founded in 2024 and raised a $10M seed round last September. It sells an agentic platform that analyzes biological, chemical and industrial "signatures". CDT already used it to evaluate its clinical assets. In August, CDT moved to raise its stake to 22.7% through pre-funded warrants, pending a shareholder vote. The company says the platform now reaches agriculture and animal health. For AI founders, the deal is a reminder that headline round sizes depend on what is paid and by whom. Equity from a thinly capitalized public partner carries dilution and approval risk that a cash round from a fund does not, so investors comparing valuations should check the form of payment first.
